Welcome to Sweet Audio Media! These Terms and Conditions ("Terms") govern your access to and use of our website and services. By signing up or using our services, you agree to comply with these Terms. If you do not agree, please do not use our platform.

1. Overview of Services

Sweet Audio Media provides:

• Music and video distribution to 150+ digital platforms
• Artist and Label dashboards
• Monetization via royalties
• Copyright protection and Content ID services
• Playlist pitching, CRBT (caller tunes), and chart registration
• Marketing, publishing, and support services

2. Eligibility

• Be at least 18 years of age, or the legal age of majority in your jurisdiction
• Have full legal rights to distribute the music and content you upload
• Not violate copyright or trademark laws

3. User Responsibilities

By using our services, you agree to:

• Provide accurate, complete, and updated account information
• Upload only original or properly licensed content
• Respect the intellectual property rights of others
• Maintain confidentiality of your login credentials
• Avoid fraudulent, illegal, or abusive behavior on the platform

4. Royalties & Payments

• You retain 95% of net royalties generated from your content.
• Royalties are calculated monthly and paid to the wallet/account provided.
• You are responsible for paying taxes in your country.
• We may withhold payment in case of fraud, disputes, or legal issues.

5. Content Ownership & License

You retain full ownership of your music and videos. By uploading, you grant us a non-exclusive, worldwide license to distribute, monetize, and promote your content on your behalf across digital service providers (DSPs). We may use your content for promotional and technical purposes (e.g., DSP ingestion, metadata formatting).

6. Content Restrictions

You may not upload content that:

• You do not have full legal rights to distribute
• Contains hate speech, violence, adult content, or illegal material
• Infringes upon any third party's copyrights or trademarks

Violation may result in content removal, account suspension, or legal action.

7. Account Termination

We reserve the right to terminate or suspend your account if:

• You breach these Terms
• Engage in fraudulent or malicious activity
• Request termination in writing

Upon termination, your content will no longer be distributed. However, historical royalties due to you will still be paid.

8. Refunds

All payments (including yearly subscriptions) are non-refundable, unless required by applicable law or under exceptional circumstances.

9. Limitation of Liability

Sweet Audio Media shall not be liable for:

• Loss of royalties due to DSP errors or third-party platform issues
• Delays in payment caused by banking systems
• Any indirect or consequential damages

Use our services at your own risk.

10. Modifications

We may update these Terms periodically. The latest version will be posted on our website. Continued use of our services after changes means you agree to the revised terms.

11. Governing Law

These Terms are governed by the laws of Indian Jurisdiction. Any legal disputes shall be resolved in the courts of Mumbai, Maharashtra - India.

Additional Legal Provisions

Force Majeure: Sweet Audio Media shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, government actions, or technical failures.

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement: These Terms constitute the entire agreement between you and Sweet Audio Media regarding the use of our services and supersede all prior agreements and understandings.

Assignment: You may not assign or transfer your rights under these Terms without our written consent. Sweet Audio Media may assign these Terms without restriction.

Waiver: No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term or condition.
